Retail Unilateral Pricing Policy

WHAT IS A UNILATERAL PRICING POLICY (UPP)?

The Unilateral Pricing Policy (“UPP”) establishes a Minimum Resale/Retail Price (“MRP”) - the price a consumer pays for Product(s) from OrionStar USA and/or OrionStar USA Authorized Distributor.

WHY IS IT NECESSARY?

The pricing helps maintain the long-term brand strength, ensuring that our products are sold by quality RESELLERs at protected equitable margins.

WHO DOES THE POLICY AFFECT?

The policy affects any RESELLER that sells OrionStar USA Products to consumers. This includes, but it is not limited to: Reseller, dealers, representative sales agents, retailers, auction sellers, or auction sites. A Reseller is also considered to be anyone that uses trademarks in connection with the advertisement, offering for sale, or sale of any OrionStar USA good, whether such use is with or without OrionStar USA consent.

HOW CAN THE POLICY BE VIOLATED?

A violation is defined as the sale or advertising of any OrionStar USA product(s) below the stated MRP.

WHAT HAPPENS IN CASE OF POLICY BEING VIOLATED?

OrionStar USA reserved the right to determine the monetary damages for each respective violation by Reseller. OrionStar USA shall have the right to collect reasonable attorneys’ fees, expenses and costs from Reseller. Penalties and the full policy can be viewed on OrionStar USA website.

In an effort to retain brand value and a healthy distribution channel, OrionStar USA (“COMPANY”) has implemented a Retail Unilateral Pricing Policy (“UPP”).

The UPP sets a Minimum Resale/Retail Price (“MRP”), which implements standard pricings for advertising and selling of all OrionStar USA products (“PRODUCTS”) in the United States of America. The MRP Policy applies to all authorized resellers, dealers, and representative sales agents (“RESELLER(s)”) of OrionStar USA Products located in the United States of America. RESELLERS must advertise and sell all products at, or above, the MRP.

COMPANY maintains the right to unilaterally impose sanctions outlined in this policy against any RESELLER that advertises and/or sells OrionStar USA Products in violation of the guidelines established herein.

OrionStar USA reserves the right to modify the UPP at its sole discretion.
